Emerging Trends in M&A

Buy & Hold Models with Decentralized Operations

In this article

1. What Are Buy & Hold Buyers?

Buy & Hold buyers—often referred to as permanent capital aggregators or long-term compounders—represent a distinct and powerful asset ownership model in private market M&A. Unlike traditional private equity funds that operate under rigid 10-year fund lifespans with mandatory 4-to-5-year asset holding periods and forced exits, Buy & Hold acquirers purchase businesses with the explicit intent of holding them indefinitely (“never sell”).

Rather than achieving returns through multiple expansion, heavy financial engineering, or forced sales, Buy & Hold buyers generate compounding shareholder value through sustainable free cash flow recycling and long-term organic and inorganic growth.

A defining operational characteristic of successful Buy & Hold buyers is their disaggregated or decentralized operating model. Rather than forcing acquired companies into a centralized corporate bureaucracy or demanding immediate brand consolidation, Buy & Hold acquirers preserve the operational autonomy, culture, and localized decision-making of their operating subsidiaries. Corporate overhead is kept extremely lean, focusing primarily on capital allocation, performance monitoring, and governance, while day-to-day operations remain fully decentralized under existing subsidiary management teams.

2. The Evolution & Prevalence of Buy & Hold

Historically, permanent ownership models were epitomized by large-cap industrial conglomerates or pioneer software serial acquirers. Over the past decade, however, the Buy & Hold model has expanded dramatically across mid-market B2B software, niche manufacturing, industrial technology, and specialized technical services.

This acceleration is driven by fundamental shifts in private market M&A:

  • Relief from Forced Liquidation Drag: In traditional private equity, selling a top-performing business after 4–5 years transfers substantial ongoing compounding upside to downstream buyers while creating immediate friction, transaction fees, and reinvestment tax drag. Buy & Hold buyers retain compounding “trophy assets” through multiple economic cycles.
  • Founder and Management Preference: Founders and leadership teams frequently prefer selling to an owner who will preserve their company’s brand, culture, and autonomy, rather than a traditional sponsor who may restructure, centralize, or re-sell the business to another buyer within a few years.
  • Lower Loss Ratios: By maintaining conservative financial leverage and prioritizing cash-generative, resilient businesses run by autonomous local management, Buy & Hold portfolios historically experience significantly lower default and loss rates than heavily leveraged buyout strategies.

There are some inherent challenges for buyers with this particular model:

  • Leadership composition: Buyers relying on continuity and low intervention are by definition reliant on the incumbent team, which quite often in M&A - particularly in sub-scale businesses - is incomplete without vendor providing extended continuity. This, we have found at least, precludes them for the majority of the market and there seems no willing to provide/source a proactive management cure. The team exists and remains or it doesn't and they cannot deal.
  • Disposal Complexity Considerations: If circumstances require a subsidiary's disposal, a decentralized model with light-touch integration can make demonstrating standalone value enhancement or operational synergies more complex. Nevertheless, driven by single-asset vehicles and larger cheque sizes, investing in or acquiring scaled Buy & Hold platforms is becoming increasingly common.

Geographic Prevalence: EU & US vs. UK Market Dynamics

A key distinction in the global landscape of Buy & Hold acquirers is the geographic divergence in organizational philosophy:

  • Prevalence in the EU & US (Decentralized & Disaggregated Models): Disaggregated and decentralized Buy & Hold groups are far more prevalent across Europe (particularly the Nordics) and the United States. High-profile Nordic examples such as Lifco, Indutrade, Lagercrantz, and Addtech, alongside North American serial acquirers like Constellation Software and Roper Technologies, operate hundreds of highly autonomous business units. These groups deliberately avoid centralizing operational functions, allowing subsidiaries to retain full P&L accountability and local customer responsiveness.
  • Greater Centralisation in the UK: In contrast, the UK market historically exhibits a strong preference for greater centralisation. Corporate acquirers, roll-ups, and buy-and-build platforms in the UK typically mandate central shared services (e.g., centralized HR, unified IT, standardized ERP, and central marketing/branding). While centralisation aims to capture cost synergies, it can introduce operational friction, cultural resistance, and corporate overhead—making the disaggregated EU/US model an increasingly attractive alternative for UK sellers seeking true operational autonomy.

The comparability of historical return metrics remains nuanced. The Buy & Hold market is still relatively nascent and smaller in aggregate volume compared to traditional buyout/sponsored models, which possess longer track records and broader datasets. While early results indicate a compelling outperformance relative to traditional private equity, this partially reflects broader industry headwinds in private equity returns, leading many scaled LPs to accept lower expected returns in favor of perceived downside protection with global mega-cap funds.

3. Future Implications for Investors, Founders, and Management

As disaggregated Buy & Hold models gain prominence across international M&A markets, several key long-term implications are shaping industry dynamics:

  • Cultural & Operational Preservation for Founders: Founders of mid-market SMEs increasingly view disaggregated Buy & Hold buyers as the buyer of choice. The guarantee that company identity, staff, and customer relationships will remain intact without high-handed corporate integration offers compelling non-financial alignment.
  • Elimination of Reinvestment Drag: Permanent capital structures avoid the friction of frequent re-underwriting, legal fees, investment banking commissions, and capital gains tax liabilities associated with repeated 3-to-5-year PE ownership flips.
  • Growing Differentiation in the UK Market: As UK businesses become more aware of the disaggregated models operating successfully across the EU and US, UK acquirers may face growing pressure to offer decentralized ownership options alongside traditional centralized roll-ups.

4. The Independence View

At Independence Capital, our core investment thesis centers on partnering with elite management teams to build high-quality UK Mid-Market platforms through disciplined buy-and-build strategies. Having successfully scaled platform assets such as Everything Tech Group from smaller SME combinations up to £8–10m+ in EBITDA, we have firsthand experience of the enormous value unlocked with deliberate strategic integrated buying.

Looking forward, engaging with owner-managers reveals that vendors now enjoy a wider array of buyer profiles and models. While this expanded optionality may create broader competition for transaction flow, we view market choice as an overwhelming positive. When vendors evaluate the relative trade-offs across different acquisition routes and consciously choose Independence Capital, they do so with deeper conviction and alignment. Ultimately, this transparency fosters stronger long-term partnerships and enhances execution success across the platforms we acquire.

In private equity, assets are typically classified across distinct market tiers based on scale, financial performance, and organizational complexity.

  2. Article 09

Independent sponsors—frequently referred to as “deal-by-deal” or “fundless” sponsors—are specialized private equity operators and transaction professionals who identify, structure, and execute corporate acquisitions without relying on a pre-funded, committed commingled fund.
